website design terms and conditions

The following information is crucial in the design of your new website:

• the product/service you are selling or representing
• target market
• color schemes
• website services required [shopping cart, secure certicates, flash, etc.]

Upon receipt of the above information, a website design concept will be designed for you to review. We will communicate as often as necessary to come up with the right design layout. And, we work on your logo until you are completely satisfied.

inCyte Designs agrees to sign over all rights associated with ownership and usage of materials developed by inCyte Designs to the customer upon receipt of customer's final approval and full payment for said materials. Until such time, inCyte Designs retains and reserves all rights to any content created by inCyte Designs as set forth by the Copyright Laws of the United States of America. Once customer's final approval and full payment is received by inCyte Designs, the customer account will receive a "Finalized" status at which time all rights connected with usage, full and unrestricted, will be released to the customer for use in all media, in all markets, for an unlimited period of time. Customer agrees that any changes requested after final files are delivered by inCyte Designs are subject to additional charges.

inCyte Designs retains and reserves the rights to any and all content developed by inCyte Designs that has not been individually and expressly finalized by the customer under this agreement. All other materials presented to customer during development remain the property of inCyte Designs.

inCyte Designs shall not be liable for any delay in performance due to causes beyond it's reasonable control. This includes but is not limited to acts of God, delayed or lack of response from customer and/or email messaging failures. The time for completing the performance that has been delayed shall be extended by a period equal to the delay so caused. Customer agrees to allow inCyte Designs an adequate period of time to complete edits as requested by Customer. Normal time frame for turnaround of requested edits is 3 business days or less. However, inCyte Designs reserves the right to extend this time frame at it's discretion should the amount of work needed to complete the requested edit require more time.

Customer hereby agrees and consents to venue in Champaign, Illinois, in the event of any legal action regarding these Terms and Conditions or of any copyright enforcement regarding the subject matter of these Terms and Conditions.
